Terms of Service
These Terms of Service (the “Terms”) govern the use of KAISEON (the “Service”), a workplace improvement management service provided by the KAISEON Operations Office (the “Operator”).
1. Service Agreement and Company Administrator
An agreement is formed when an applicant accepts these Terms and completes registration through Stripe. The applicant becomes the company administrator and manages invitations, permissions, and account suspension for users in its organization. Invited users may access only data associated with the company ID to which they were invited.
2. Free Trial, Fees, Users, and Payment
New subscriptions include a 30-day free trial beginning on the sign-up date. No subscription fee is charged if the subscription is canceled during the trial. If it is not canceled, billing for the Early Access Plan begins on day 31. The plan costs JPY 899 per company per month, including Japanese consumption tax, and includes up to 50 active users. The applicant counts as one user. Beginning with the 51st active, fully registered user, JPY 20 per user per month, including tax, is added to the invoice. Pending invitations do not count. Suspended users are excluded at the next user-count synchronization. The first charge occurs on the day after the trial ends, followed by the monthly renewal date displayed by Stripe.
3. Cancellation, Refunds, and End of Service
A company administrator may cancel at any time through “Manage payments, invoices, and cancellation” in the Service. Cancellation during the free trial prevents the first charge. Cancellation after the trial takes effect at the end of the current billing period and stops future renewal charges. Except where required by law, paid fees are nonrefundable and are not prorated. If you cannot sign in, contact the Operator from the email address registered to the account.
4. Failed Payments
If payment cannot be confirmed, the Operator will notify the registered company administrator and generally provide a seven-day resolution period. The Service may be suspended if payment is not confirmed within that period. Access will resume after payment is confirmed unless the Operator has imposed a separate suspension.
5. Data Handling and Export
Company administrators can export their organization’s data from the Service. Because access ends when the subscription ends, export any required data before the cancellation date. After applicable retention periods for legal obligations, billing records, incident response, and backups, the Operator will delete or render service data impracticable to restore.
6. Prohibited Conduct
You may not violate applicable law, infringe third-party rights, attempt unauthorized access, place an excessive load on the Service, share authentication credentials, attempt to access another organization’s data, or interfere with operation of the Service.
7. Changes and Suspension
The Operator may modify or suspend all or part of the Service for maintenance, outages, security response, or other unavoidable reasons. When a prolonged suspension is expected, the Operator will provide advance or prompt notice where reasonably possible.
8. Results and Disclaimer
The Service aggregates and displays information entered by users. It does not guarantee improvement outcomes, business results, or the accuracy of entered information. Monetary equivalents of time savings are estimates and may not represent actual reductions in expenditures.
9. Limitation of Liability
Except in cases of willful misconduct or gross negligence by the Operator, the Operator’s aggregate liability arising from the Service is limited to the total fees paid by the user during the 12 months preceding the month in which the loss occurred. This limitation does not apply to liability that cannot be limited under applicable law.
10. Governing Law and Venue
These Terms are governed by the laws of Japan. The court with jurisdiction over the Operator’s location will have exclusive jurisdiction as the court of first instance for disputes relating to the Service.
11. Contact and Changes to These Terms
Contact kaiseonofficial@gmail.com with questions. Material changes will be communicated through the Service, by email to the registered address, or through another reasonable method.
